Terms & Conditions

These Terms & Conditions (“Terms”) govern access to and use of FortisNest, including fortisnest.com and, when available, the FortisNest web and mobile applications. FortisNest is developed and operated by EACT Technologies OÜ (“EACT”, “we”, “us”).

If an association or other customer has entered a separate written subscription, enterprise, data-processing or other agreement with EACT, that agreement controls to the extent of a conflict with these Terms.

1. Acceptance of Terms

Before first using an account, users may be required to affirmatively accept these Terms and acknowledge the Privacy Policy. Continuing to use the service after a properly notified material update may be subject to renewed acceptance where appropriate. Your acceptance should be recorded with the applicable Terms version, timestamp and account identifier.

Acceptance of these Terms does not constitute consent to optional personalized advertising, optional analytics or other processing that legally requires separate consent.

2. Eligibility and authority

You must be legally capable of entering these Terms and, where using FortisNest for an association or organization, authorized to use the service on its behalf or under authority granted by it. FortisNest is not intended for unsupervised use by children.

3. Accounts and credentials

You must provide accurate account information, keep credentials confidential, use reasonable security practices and promptly report suspected unauthorized access. Accounts are personal unless the service expressly permits shared or organizational credentials.

4. Customer and user responsibilities

Customer organizations and their authorized users determine what association information they enter and are responsible for ensuring that they have authority and a lawful basis to collect, upload, use and disclose that information. Customers are responsible for their internal governance, approvals, financial decisions, statutory records and professional obligations.

5. Permitted use

FortisNest may be used for lawful association, residential community and property-administration purposes consistent with the subscribed or authorized functionality.

6. Prohibited conduct

You must not: access accounts or information without authorization; circumvent security or access controls; probe or disrupt the service; upload malware; use automated means that materially burden the service; unlawfully scrape or extract data; impersonate others; submit unlawful or infringing material; manipulate financial records fraudulently; or reverse engineer the service except to the extent such restriction is prohibited by applicable law.

7. Financial and administrative information

FortisNest provides recordkeeping and administrative tools. Entries, reports, balances, receipts and calculations depend on information entered by users and system configuration. Customers must independently verify information where required for accounting, audit, tax, legal, banking or statutory purposes. FortisNest is not a bank, payment institution, accounting firm, auditor or law firm.

8. Uploaded documents and customer data

As between EACT and the customer, the customer retains its rights in customer data. The customer grants EACT the rights necessary to host, process, transmit, back up and otherwise handle customer data solely to operate, secure and support the service and as otherwise permitted by the applicable agreement and law.

9. Privacy and data protection

Our Privacy Policy describes EACT’s processing practices. Where EACT processes personal data on behalf of a customer organization, additional data-processing terms may apply. Customer organizations remain responsible for controller obligations applicable to the information they choose to place in FortisNest.

10. Advertising

FortisNest may be supported in whole or in part by advertising. Advertising may appear in the web or mobile applications. Advertisements must be distinguishable from ordinary product content where required by law. Advertising functionality may involve third-party technology providers.

Acceptance of these Terms permits the service to contain advertising as a product feature, but does not itself provide GDPR/ePrivacy-style consent for optional tracking, personalized advertising or storage/access technologies where separate consent is legally required. Such choices will be requested separately where applicable.

11. Third-party services

The service may interoperate with hosting providers, email systems, app stores, analytics, advertising networks or other third-party services. Third-party services may have their own terms and privacy practices. EACT is not responsible for third-party services outside its reasonable control.

12. Intellectual property

FortisNest, its software, source code, architecture, interface, designs, trademarks, branding, documentation and other product materials are owned by or licensed to EACT. Except for the limited right to use the service under these Terms, no intellectual-property rights are transferred to users.

13. Feedback

If you voluntarily provide suggestions or feedback about FortisNest, you permit EACT to use that feedback without restriction or payment, provided this does not transfer ownership of your confidential customer data.

14. Availability, maintenance and changes

We may maintain, modify, update or discontinue features. We do not guarantee uninterrupted or error-free operation. Emergency maintenance, security events, third-party failures, internet outages and circumstances beyond reasonable control may affect availability.

15. Suspension and termination

We may suspend or restrict access where reasonably necessary to protect security, prevent abuse, comply with law, address material breach or non-payment, or protect other users. Customer termination rights, export arrangements and retention may also be governed by a separate customer agreement.

16. Disclaimers

To the maximum extent permitted by law, the service is provided on an “as available” basis. We do not warrant that FortisNest will satisfy every legal, accounting, audit, property-management or regulatory requirement applicable to a particular organization. Mandatory statutory warranties that cannot legally be excluded remain unaffected.

17. Limitation of liability

To the maximum extent permitted by applicable law, EACT will not be liable for indirect, incidental, special, punitive or consequential losses, or loss of profits, goodwill or business opportunity arising from use of FortisNest. Nothing in these Terms excludes liability that cannot legally be excluded or limited. Where a separate commercial agreement applies, its negotiated liability provisions control.

18. Indemnity

To the extent permitted by law, an organizational customer is responsible for claims arising from its unlawful customer data, unauthorized use of third-party information, or material breach of these Terms, subject to any separate written agreement with EACT.

19. Governing law

Unless a separate written agreement provides otherwise, these Terms are governed by Estonian law, without prejudice to mandatory rights and jurisdiction rules that applicable law grants consumers or other protected users.

20. Changes to Terms

We may update these Terms for legal, security, operational or product reasons. Where a change materially affects existing users, we will provide notice or request renewed acceptance where required.
